content, or consultations offered by The Cumber Group, LLC ("The Cumber
Group," "TCG," "we," "us," or "our"), a limited liability company organized
under the laws of the State of Georgia, with its principal place of business
in Atlanta, Georgia.
By accessing or using the Site, or by engaging The Cumber Group for advisory
services, you ("Client," "you," or "your") agree to be bound by these Terms.
If you do not agree to these Terms, you must not access or use the Site or
our services.
1. ABOUT THE CUMBER GROUP
The Cumber Group is a strategic advisory firm based in Atlanta, Georgia,
providing consulting services across five integrated disciplines: Strategic
Advisory, Organizational Architecture, Operational Excellence, Leadership &
Governance, and Financial Performance. Our engagements are designed for
healthcare venture founders, hospital systems and networks, private
equity-backed companies, startup and growth-stage founders, investors
launching new ventures, and organizations undergoing strategic or
operational transformation.
Nothing on this Site constitutes a binding offer of services. All advisory
engagements are governed by a separate, signed engagement letter or
services agreement between The Cumber Group and the Client, which shall
take precedence over these Terms in the event of any conflict.
2. USE OF THE SITE
You agree to use the Site only for lawful purposes and in accordance with
these Terms. You shall not:
a. Use the Site in any manner that could damage, disable, overburden, or
impair the Site or interfere with any other party's use of the Site;
b. Attempt to gain unauthorized access to any portion of the Site, other
accounts, computer systems, or networks connected to the Site;
c. Use any automated means, including bots, scrapers, or data mining
tools, to access or extract data from the Site without our prior
written consent;
d. Reproduce, duplicate, copy, sell, resell, or exploit any portion of
the Site without our express written permission.
We reserve the right to restrict or terminate your access to the Site at
our sole discretion, without notice, for conduct that we believe violates
these Terms or is otherwise harmful to other users, us, or third parties.

4. Third-Party Links
Submitting a contact form, scheduling a consultation, or otherwise
expressing interest through the Site does not create a client relationship,
fiduciary duty, or contractual obligation between you and The Cumber Group.
A formal client relationship is established only upon execution of a
written engagement letter or services agreement signed by both parties,
which will set forth the specific scope of work, deliverables, fees,
timeline, and other terms applicable to the engagement.
The Cumber Group reserves the right to decline any consultation request or
engagement opportunity at its sole discretion.
5. CONFIDENTIALITY
The Cumber Group respects the confidentiality of information shared by
prospective and current clients through the Site, including information
submitted via consultation request forms. We will not disclose information
you provide to third parties except as necessary to deliver our services,
as required by law, or as otherwise agreed in a signed engagement letter.
Detailed confidentiality and non-disclosure obligations applicable to a
specific engagement will be addressed in the relevant engagement letter or
a separate mutual non-disclosure agreement (NDA), as applicable.
7. THIRD-PARTY LINKS AND SERVICES
The Site may contain links to third-party websites or services (including
scheduling tools, payment processors, or social media platforms) that are
not owned or controlled by The Cumber Group. We have no control over, and
assume no responsibility for, the content, privacy policies, or practices
of any third-party websites or services. Your use of any third-party
website or service is at your own risk and subject to that third party's
terms and policies.
8.LIMITATION OF LIABILITY
To the fullest extent permitted by applicable law, in no event shall The
Cumber Group, its members, officers, employees, or agents be liable for any
indirect, incidental, special, consequential, or punitive damages,
including but not limited to loss of profits, data, business opportunities,
or goodwill, arising out of or in connection with your access to or use of
the Site, regardless of the legal theory upon which such damages are
claimed and even if The Cumber Group has been advised of the possibility of
such damages.
The Cumber Group's total cumulative liability arising out of or related to
your use of the Site shall not exceed one hundred U.S. dollars ($100).
Nothing in these Terms shall limit liability for matters that cannot be
limited or excluded under applicable Georgia or federal law.
Liability arising from a specific advisory engagement is governed
exclusively by the terms of the applicable signed engagement letter, not by
these Terms.
9.NO WARRANTY
THE SITE AND ALL CONTENT PROVIDED THEREIN ARE PROVIDED ON AN "AS IS" AND
"AS AVAILABLE" BASIS, WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR
IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF
MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR
THAT THE SITE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE.
The Cumber Group does not warrant or guarantee any specific business,
financial, or operational outcome resulting from the use of this Site or
from any advisory engagement, except as expressly set forth in a signed
engagement letter.
10.INDEMNIFICATION
You agree to indemnify, defend, and hold harmless The Cumber Group, its
members, officers, employees, and agents from and against any claims,
liabilities, damages, losses, and expenses, including reasonable attorneys'
fees, arising out of or in any way connected with your access to or use of
the Site, your violation of these Terms, or your violation of any rights of
a third party.
11.GOVERNING LAW AND JURISDICTION
These Terms shall be governed by and construed in accordance with the laws
of the State of Georgia, without regard to its conflict of laws principles.
Any dispute arising out of or relating to these Terms or your use of the
Site shall be subject to the exclusive jurisdiction of the state and
federal courts located in Fulton County, Georgia, and you hereby consent to
the personal jurisdiction of such courts.
12.CHANGES TO THESE TERMS
The Cumber Group reserves the right to modify or update these Terms at any
time, at our sole discretion. Any changes will be effective immediately
upon posting the revised Terms on the Site, with an updated "Last Updated"
date. Your continued use of the Site following the posting of changes
constitutes your acceptance of such changes.
13.SEVERABILITY
If any provision of these Terms is found to be unlawful, void, or
unenforceable by a court of competent jurisdiction, that provision shall be
deemed severable from these Terms and shall not affect the validity and
enforceability of the remaining provisions.
14.ENTIRE AGREEMENT
These Terms, together with our Privacy Policy and, where applicable, any
signed engagement letter, constitute the entire agreement between you and
The Cumber Group regarding your use of the Site and supersede any prior
agreements or understandings, whether written or oral.
